Terms of Service

Flare Systems, LLC ("We") provides "Flare Invoice" (the "Service") and other related services subject to your compliance with the terms and conditions ("Terms of Service/TOS") set forth below. We reserve the right to update and modify the TOS at any time without notice. Updates and Features that might be added to the Service will be subject to the TOS. Should you continue to use the Service after any modifications, this will constitute your agreement to such modifications.

Description of the Service

Flare Invoice is a web-based invoicing service, which may encompass similar services. Your use of the Service is your sole risk. The service is provided on "as is" and "as available" basis, however Flare Invoice will do all it can to provide you with a 99% uptime of the service.

Eligibility

You must be at least 18 years old to use this Service. You must provide a valid email address, and any other required information to complete the sign-up process.

Flare Invoice Terms

We may give you access to a free Flare Invoice account that allows online invoicing for one user. In case your company requires a paid account (such as at the end of a trial or promotional period), you will need to submit payment with a valid credit card or a PayPal account to continue use of the service. The service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade accounts, or for months unused with an open account. All fees are exclusive of all taxes or duties imposed by governing authorities. You alone are responsible for payment of all such taxes or duties. In case of an upgrade or downgrade of your account, your current method of payment (credit card, PayPal) will be charged with the new amount in the next billing cycle (on the date you have upgraded your account). Further, You represent and warrant that You have all necessary authorization to purchase and pay for this service.

Prohibited Use

You may not use this service to support or conduct any activity that's fraudulent or that would otherwise give rise to civil and/or criminal liability. You may not use this service to, in any way, prevent other Flare Invoice customers from freely accessing and enjoying the service.

Modification to Fees and Services

We reserve the right to change Service fees upon 30 days notice from us. We also reserves the right to discontinue the Service of any account upon 30 days notice by us.

Your Responsibility

You will indemnify and hold Flare Systems, LLC and its affiliates, agents and employees harmless from and against any and all loss, liability, and expense (including reasonable attorney's fees) suffered or incurred by reason of any claims, proceedings or suits based on or arising out of the use of the Service. You are responsible for maintaining the privacy and security of your account. You must secure your account with a strong password and take care not to provide access to your password and to your Flare Invoice account. Furthermore, you agree to be solely responsible for all actions that take place under your account. You must notify us immediately if you suspect that your account has been compromised or misused in any way.

Cancellation and Termination

You are solely responsible for the proper cancellation of your account. You can cancel your account at any time by clicking the "Cancel Account" button within your account settings and following the subsequent on-screen instructions. You may also cancel by contacting us directly. There will be no refund for paid services that are canceled prior to the end of the current billing period except that you may receive a refund if you cancel your service within 5 days of being billed AND if, in our sole discretion, we determine there was no use of your account to generate, modify or download invoices or quotes within that time period. There is no cancellation fee. Cancellation is immediate, and all of your Content will become immediately unavailable.

Force Majeure

Neither party should be held liable for a delay or failure in performance of the agreement for services caused by reason of any occurrence of unforeseen event beyond its reasonable control, including but not limited to, acts of God, natural disasters, power failures, server failures, third party service provider failures or service interruptions, embargo, labor disputes, lockouts and strikes, riots, war, floods, insurrections, legislative changes, and governmental actions. The party so affected by the unforeseen event shall be so excused for the duration of the underlying cause of delay.

Additional Terms of Service

In addition to the terms stated in this document, your use of the Flare Invoice web site and service also constitute that you have read and accepted our Privacy Policy.

Entire Agreement

The Terms of Service constitutes the entire agreement between you and Flare Systems, LLC and governs your use of the Service.
